Regulation A+

Regulation A+ is an update to Regulation A adopted by the SEC in 2015. Regulation A+ establishes two tiers within Regulation A:

  • Tier 1 – for securities offerings of up to $20 million in a 12-month period
  • Tier 2 – for securities offerings of up to $50 million in a 12-month period

The two tiers signify two types of investments, so companies are now required by the SEC to indicate which tier their offering will be conducted under.
